Terms of Service

These Terms govern your participation in the tutti bear affiliate programme operated by DAT SUPPLY LTD ("we", "our", "us"), a private limited company incorporated in England and Wales under company number 16756227, with registered office at 128 City Road, London EC1V 2NX, United Kingdom. By applying to or continuing in the programme you accept these Terms.

1. Eligibility

  • You must be at least 18 years old.
  • You must provide accurate registration details and a valid payout method.
  • You must not be prohibited from participating under any applicable law or sanctions regime.
  • If you act on behalf of a company, you confirm you are authorised to bind it.

2. Programme enrolment

Applications are reviewed at our discretion. We may approve, reject or revoke an application at any time without giving reasons. Approved partners receive access to the partner portal at partners.tuttibear.com and to the programme materials and tracking codes assigned to them.

3. Affiliate responsibilities

  • Promote tutti bear products honestly, in line with the brand guidelines and any contract issued to you.
  • Comply with applicable laws including consumer-protection, advertising-disclosure (e.g. Portuguese ARP, EU UCPD/DSA, UK CAP/ASA) and food-supplement claim rules.
  • Disclose the commercial relationship clearly in every post or piece of content (#parceria, #ad, #publi where relevant).
  • Do not bid on tutti bear branded keywords on paid search, run incentivised installs, use spam or misleading claims, or impersonate the brand.
  • Fulfil seeding deliverables within agreed timelines and respect content cadence and review windows configured for your account.
  • Do not make medical, therapeutic or unverified health claims about tutti bear products.

4. Coupons, attribution and commissions

Each affiliate is issued one or more discount codes scoped to a tutti bear store (Portugal, Spain, International, B2B). Commissions are earned on qualifying orders that attribute to your code through our analytics, at the rate and on the commissionable revenue defined by your tier and the contract you signed. We may adjust rates with reasonable prior notice.

5. Hold periods, reversals and disputes

Commissions are placed on hold for the period set out in your tier (typically 14 days) to absorb returns and chargebacks. We may reverse a commission for fraud, returned or refunded orders, chargebacks, breach of these Terms, or non-disclosure of the partnership. You may raise a dispute through the portal within 30 days of any reversal.

6. Payouts

Payouts are processed manually in EUR according to the schedule and minimum threshold shown in the portal. You are responsible for the accuracy of your payout details. You are responsible for declaring the income you receive and for paying any taxes due in your jurisdiction; we are not your employer and the relationship is not one of employment or agency.

7. Intellectual property

We grant you a limited, non-exclusive, non-transferable, revocable licence to use tutti bear logos, product imagery and copy strictly to promote the programme, in line with our brand guidelines. All rights remain ours. You assign to us a worldwide, royalty-free licence to reuse the content you produce about tutti bear on our owned channels, with credit, while you are an active partner and for 12 months thereafter.

8. Confidentiality

You agree to keep confidential any non-public information you receive through the programme — including commission rates, partner-only promotions, product roadmap and our business relationships — except where disclosure is required by law.

9. Term and termination

Either party may terminate the relationship at any time, with or without cause, by notice through the portal or by email. On termination, access to the portal ends and unpaid commissions remain subject to the hold and reversal rules above. Sections 7, 8, 10 and 11 survive termination.

10. Limitation of liability

To the maximum extent permitted by law, we exclude liability for indirect, incidental, special or consequential losses, loss of profits, revenue, goodwill or data. Our total aggregate liability shall not exceed the commissions paid to you in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, gross negligence or anything that cannot lawfully be limited.

11. Governing law and venue

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, save that we may enforce these Terms against you in the courts of your place of residence where required.

12. Modifications

We may update these Terms from time to time. Material changes will be communicated through the portal or by email at least 14 days before they take effect. Continued participation after the effective date constitutes acceptance.
